Our Client Company (CC) was founded by the Seller in 2002. The Seller designed and now manufactures a system which gives owners of businesses wherein customers serve themselves the ability to start accepting credit and gift cards. The business employs three full-time employees including the owner. The business is located in Colorado and serves customers nationwide. Seller estimates that its market share in its industry segment is well over 90%. Seller will work closely to ensure a smooth and effective transition of the business to the new owner. CC sells five varieties of electronic hardware and one piece of PC software. Four of the five pieces of hardware are designed to facilitate the acceptance of credit and gift cards in a specific self serve industry. The fifth is a receipt printer for transactions generated through the other four. The software handles communication between the hardware and the merchant provider, financial reporting and system administration. All four card acceptance machines are second generation designs. CC also sells replacement and upgrade parts. The market for CC’s product is well established and stable. Seller expects the market to grow for its products as the end user industry prefers the convenience of credit cards over having to have correct change. CC assembles it units at its headquarters from parts purchased from outside vendors. It sells through a nationwide network of independent distributors. Seller maintains a parts inventory to back up its warranty and to provide upgrade parts to its distributor network.
