Red Rock Investments (“RRI”) is an established, highly profitable provider of financing for new and used vehicles sold by Gurley Motors – the largest light truck dealer in the US Southwest. RRI holds a $30MM loan portfolio that generates $4.3MM in revenue and $2.6.MM in cash flow. This is mainly due to a unique customer base and their relationship with them. Over 70% of its customers are Native American Indians. RRI has financed 70%-85% of Gurley Motors’ sales since 1959. Lending Terms RRI requires a minimum down payment of 25% of sales price. Interest rates on loan contracts range from 16% - 18%. Customers with established performance on past loans receive the lower rate; new customers are charged the higher one. The average interest rate for all contracts is 16.3%. Average sales price financed is $15,900; New vehicles are financed for no more than up to 48 months. Used vehicles are financed for 12 - 42 months depending on the miles and condition. The mix has been approximately 46% new and 54% used for the last three years. Underwriting The Company’s underwriting process is rigorous and based on long-standing best practices including proper credit applications, thorough review of credit reports, recent employment history, place of residence, verifications and whether the customer has a past or current loan history with the Company. The principals and senior management personally review each application. Because of these methods and extremely good relation with area tribal councils built over the years, RRI has averaged write downs of less then 2%. Customers According to the 2008 U.S. Census Bureau, there were 341,127 Native Indian American adults aged 18 and older in the US Southwest (AZ, NM, Utah and CO) and over 50% of them have cars and trucks. On average, they drive 50,000 miles per year Native Indians are not typical “sub prime” borrowers, especially when it comes to their vehicles. Most are categorized as sub prime because they do not have home utility track records commonly required by banks and credit agencies. Also, the truck is one of the most important assets to this demographic given the location and size of the reservations. A safe reliable vehicle is needed to travel far distances for work (sometimes in other states) and to purchase basic necessities. Therefore, a customer will ensure that payments are made despite difficulties. There is a unique, long-standing relationship between the Company and its the clients resulting in a retention rate in excess of 60%. Financials RRI has been consistently profitable and growing steadily for over three years. In 2008, EBITDA was $2.6MM. In 2009, it is projected to be identical at $2.6MM. The asset base has been stable with a net change of less than 1% from last year. The loan portfolio decreased by $533K to $30.3MM from 2008 or 1.7% Total liabilities decreased 2% from $22.8MM to $22.4MM. Future Potential The Company was founded in 1959. After 50 + years of growth and profitability, it is uniquely positioned to continue to grow its niche business to serve the Native American population in the Southwest by continuing to act as a captive finance, in-house unit of Gurley Motors. Management sees an opportunity to grow the portfolio modestly by providing their services and expertise to other, regional car dealerships in New Mexico and surrounding states. With the requested level of funding, management believes it can easily grow revenue by 25% within 3 years to $5.5MM and $3.3MM EBITDA while maintaining profitability, standards and performance benchmarks. Likely Transaction The Company seeks $15MM - $20MM in senior and/or subordinated notes to finance its $30MM loan portfolio and grow it modestly. The current lenders, a combination of family, friends and small local banks, wish to recapitalize. The Company will pay interest in the range of 6-11% (depending on availability) plus standard fees.
