This business has been established over 25 years by the current owner who is ready to retire. The company is a full service metal fabricator with OEM mfg, laser cutting, sheet metal fab, trailer design & mfg, precision machining, machine design and machine build. The company is on a fiscal year ended June 30th. For 2009 sales were $7.5M with $700k in adjusted earnings to the owner. The prior two years sales and cash flow were similar. However, sales and cash flow have dropped in 2009 largely due to the loss of volume with a major customer and the business has started to lose money. The owner does not want to risk capital going forward given his age and wants to sell the business quickly. They have a strong balance sheet and very little debt. A cash sale and stock sale are preferred given this is a C corp., but an asset sale will be entertained and Seller financing may be considered on a buyer for buyer basis. There is no formal asking price and the Seller is receptive to all fair and reasonable offers. The owner owns the 52,000 SF facility which was recently appraised for $3.9M and he only wants to lease the facility, but is negotiable on lease rates.
