Business Valuation

Most owners are carrying a number in their head that came from a competitor's rumor or a multiple somebody quoted at a trade show. That number is rarely defensible.

We follow a systematic valuation process built to hold up where it counts — with buyers, with lenders, in litigation, and with the IRS. Full add-back and normalization analysis. Owner compensation adjusted. Working capital modeled. For trade and service businesses, we account for the factors that actually move a multiple: customer concentration, recurring revenue, technician retention, licensing structure, fleet and equipment condition, and how much of the business still runs through the owner.

You receive the number and the reasoning behind it. If something is suppressing your value, we identify it and tell you what it would take to address it.

We manage the M&A lifecycle from discovery to the closing table while maintaining your confidentiality throughout.

We represent sellers. That is a deliberate choice. A broker sitting on both sides of a transaction is compensated regardless of which party comes out ahead.

Introduction

Most owners get a transaction when what they need is a plan.

Here is the gap: Your CPA looks backward, files what already happened, finds you some deductions, and does it well. That is what filing is. It is a look in the rearview mirror.

Then one day you sell the company. It is the largest financial event of your life, and you are holding a sum of money you have never held before with a question nobody prepared you for: now what?

On one end, you have the person looking behind you. On the other end, you buyers and lenders looking at numbers you were never coached on. Between them sits a stretch of decisions (entity structure, deal structure, allocation, timing, what to fix and when) that quietly determines what you actually keep.

Fourth Point Capital was built to stand in that gap between the two.

How we are put together:

We combined disciplines that normally sit in four separate offices and rarely speak to each other: CPA and tax work, business valuation, exit planning, seller-side brokerage, and wealth management.

The practical result: when a buyer's letter of intent hits your desk, the person analyzing the offer, the person modeling the tax consequences, and the person who will help you handle the proceeds are on the same team and already know your file. Nothing gets lost in the handoff between advisors, because there is no handoff.

The owner who is ready after decades of early alarms and Saturday calls. You built something real, and you want the exit handled by people who treat it as the culmination of that work rather than a listing on a website.

The owner who is not done yet and is growing, acquiring, or building toward a much larger exit in five years. You want to know what the business is worth today, what is holding that number down, and what the sequence is between here and there.

What is different about how we work

Selling is a transaction, not a surrender. Owners are told, directly or by implication, that selling means giving up income and identity. That framing has cost people real money. What you are actually doing is converting decades of equity into liquidity, and the way that conversion is structured matters as much as the price.

We work the structure before you sign, not after. Two offers at the same number are not the same offer. Asset versus stock treatment, purchase price allocation, installment terms, and timing all affect your net. Once the LOI is executed, most of that leverage is gone. So we do the work early.

We will tell you when you are not ready. If your financials, your customer mix, or your dependence on being in the truck every day would cost you at the negotiating table, we say it out loud and show you what it would take to address it. We would rather have a real conversation now than an expensive one later.

Confidentiality is operational, not a promise. Your employees, your competitors, and your customers do not find out from us. We built the process that way.
