This is a technical assignment of rights. It is intended for entities capable of maintaining the existing logistical infrastructure and compliance standards required for urban operations of this scale.

Contingencies and Provisions:

Venue Approval: Any proposed assignment of rights is strictly subject to final approval by the venue management and relevant municipal authorities.

Legal Oversight: All final documentation and the execution of the contract transfer must be processed through the Sellers legal counsel. The Transferee is required to comply with the intake and verification procedures as established by the Sellers attorney of record.

Financial Terms and Obligations
Total Venue Fee Allocation: $80,000.00

Payment Structure:

Initial Retainer: $5,000.00 non-refundable administrative deposit, payable to the Seller upon execution of the transfer intent.

Remaining Balance: $75,000.00 to be remitted directly to the venues designated accounts receivable department according to their internal billing schedule.

Exclusions and Limitations:

Permitting: This transfer does not include municipal permits, health department clearances, or noise variance authorizations. All such regulatory filings remain the sole responsibility of the Transferee.

Logistical Infrastructure: The fee covers site access only. It does not include physical infrastructure, including but not limited to: staging, power distribution, sanitation units, fencing, or temporary structures.

Operational Overhead: All secondary costs related to site load-in, load-out, and restoration are excluded from the baseline venue fee.
