WUNDERKIND has operated in Virginia’s cannabinoid market for several years and has historically reached more than 300 retail locations through wholesale and distribution relationships. The company has developed an established consumer brand, award-winning products, proprietary formulations, packaging and product designs, website/domain, social media presence, marketing assets, supplier relationships and practical manufacturing know-how.

A key strategic component of this opportunity is Peacock Labs’ historical Virginia hemp-processing background. Peacock Labs was registered as a Virginia industrial hemp processor prior to January 1, 2021 and has maintained its industry operating history. Virginia is currently developing its regulated adult-use cannabis market, with retail sales scheduled to begin in 2027.

Virginia’s new framework provides a specialized pathway for certain qualifying industrial hemp processors and growers with pre-2021 registration history, involving a $500,000 fee and applicable regulatory requirements. A separate standard licensing/application pathway is also being developed with lower ordinary licensing costs but potentially broader competition.

The historical processor position may therefore be particularly valuable to an experienced cannabis operator, distributor, investor or strategic buyer seeking entry into Virginia. Management believes the number of Virginia companies possessing a comparable combination of pre-2021 processor history, established commercial operations, manufacturing experience and recognized consumer brand presence is very limited.

Beyond regulatory history, WUNDERKIND provides something a newly formed company cannot immediately recreate: years of operating experience in Virginia, existing industry relationships, established product development and manufacturing knowledge, brand recognition and a demonstrated route to market.

The current manufacturing facility, equipment and employees are NOT included in the acquisition. The buyer will establish its own operating location and infrastructure.

To support the transition, the seller will provide two weeks of hands-on manufacturing and operational training covering formulations, SOPs, production processes, packaging, quality procedures and workflow. Seller will also provide supplier/equipment guidance and reasonable assistance transferring relevant operating knowledge and historical documentation.

Seller will additionally provide reasonable support during the Virginia cannabis licensing process, including coordination with the buyer’s legal/regulatory professionals and explanation and transfer of relevant historical processor, compliance and operating records.

The opportunity is being offered with several potential transaction structures, including a straightforward outright acquisition as well as performance-based or strategic partnership structures for qualified buyers.
