Business Description
Opportunity to acquire an established Arizona construction and remodeling company operating since 2008. This operational turnaround requires meaningful working capital, experienced construction leadership, and hands-on project controls. The company has recently experienced liquidity pressure, reduced sales, staffing disruption, and project-execution challenges. Current information will be provided to financially qualified buyers under NDA.

The company provides residential construction, remodeling, renovation, and related home-improvement services throughout metro Phoenix.

Prior internal reports reflected approximately 92 active customer contracts, $25.6 million in original contract value, and $13.9 million in reported remaining contractual balances. These preliminary figures are being reconciled through a job-by-job WIP analysis.

The $13.9 million does not represent cash, recognized revenue, accounts receivable, guaranteed collections, or anticipated profit. Buyer must evaluate each contract’s billing, collectability, deposits, permits, disputes, change orders, incurred and committed costs, revised cost to complete, completion obligations, timing, and potential profit or loss.

A current WIP and liquidity analysis is being prepared. It may identify estimated project margin and future cash contribution, additional working-capital needs, overruns, timing differences, or job-level losses.

Business Highlights:

• Established in 2008
• Significant historical revenue and project volume
• Active customer projects, subject to WIP reconciliation
• Existing estimating, project-management, scheduling, accounting, customer-service, and administrative systems
• Established subcontractor, supplier, and vendor relationships, subject to verification
• Branding, websites, phone numbers, customer records, and other intellectual property may be included
• Office equipment, tools, vehicles, trailers, and other assets may be available, subject to transaction structure, ownership, financing, and liens
• Turnaround and growth opportunity for an experienced, well-capitalized operator

Potential improvements include stronger job costing, purchasing controls, project selection, estimating, subcontractor management, scheduling, collections, overhead management, and higher-margin remodeling work.

Ownership seeks an expedited but orderly sale and transition. The seller will consider an asset sale, equity transaction, recapitalization, or other structure consistent with current obligations and definitive agreements.

The treatment of cash, receivables, customer deposits, active contracts, equipment, debt, liabilities, working capital, and other assets or obligations will be determined through diligence and negotiation. Price and structure remain subject to the completed WIP, current liabilities, required working capital, and buyer verification.

Transition support may include introductions and assistance with estimating, project management, scheduling, customer service, administrative systems, purchasing, and project status. No assurance is made that any employee, subcontractor, customer, supplier, or other relationship will continue after closing.

Updated financial information, WIP schedules, contracts, asset records, liability schedules, and supporting documents will be provided to qualified buyers under NDA.

Serious inquiries from experienced, financially capable buyers only. Buyer must independently verify all financial, operational, legal, licensing, contract, asset, liability, and project information.

Facilities & Assets
Change to an operational turnaround requiring capital and construction experience

The business operates from an established office and administrative location in Tempe, Arizona. Assets available with the transaction may include office furniture, computers, communications equipment, construction tools, field equipment, vehicles, trailers, software, operating systems, customer records, vendor relationships, branding, phone numbers, websites, and other intellectual property.

The exact assets included will depend on the final transaction structure. Certain vehicles, equipment, leases, contracts, accounts receivable, customer deposits, and active projects may be negotiated separately. A detailed asset and equipment list will be provided to qualified buyers after execution of a confidentiality agreement.
Market Outlook / Competition
The Phoenix metropolitan area continues to provide a substantial market for residential remodeling, renovation, repair, and construction services. Demand is supported by an established housing base, population growth, property turnover, aging homes, insurance-related repairs, and homeowners seeking upgrades instead of relocating.

The market is competitive and includes independent contractors, specialty trades, franchise operators, and larger regional construction companies. The business differentiates itself through its long operating history, established infrastructure, project experience, customer relationships, vendor and subcontractor network, and ability to manage multiple types of construction and remodeling work.

A strategic buyer may benefit from combining the company’s existing platform with stronger cost controls, improved project selection, additional working capital, and more focused marketing.
Opportunities for Growth
Growth opportunities include expanding into additional Phoenix-area markets, increasing higher-margin remodeling and renovation work, strengthening referral and strategic-partner channels, and improving digital lead generation.

A buyer may also be able to increase profitability through tighter job costing, improved project selection, better purchasing controls, standardized estimating, stronger subcontractor management, and more disciplined overhead management.

Additional opportunities may include commercial remodeling, insurance restoration, property-management relationships, real estate investor work, maintenance programs, and acquiring smaller contractors or specialty trades. The company’s established operating history, infrastructure, customer base, and vendor network may allow a qualified buyer to grow more quickly than starting a new construction business.
