Asset Sale Description

Top 5 Pharma has deployed to production software version 1.0.XX, which is Top 5 Pharma’s internal name for OpenCQT, a software product completely owned and developed by DBMS Consulting. This is the 2nd production release into Top 5 Pharma and is expected to increase the internal Top 5 Pharma user base into the hundreds of users internally. The software manages and maintains custom MedDRA groupings for Top 5 Pharma for all of their pharmaceutical products used in regulatory submissions. These MedDRA groupings are based on their own historical data and the MedDRA SMQ dictionary standards. The output of the software feeds a central data cloud in Top 5 Pharma. This is a private cloud which all other systems use as a data standard. One of the main consumers of this data is their Argus Empirica system, but there are several others too.

Value-Adding Properties:
1). OpenCQT uses all open source technology and can be easily cloudified. This provides a huge cross-sell opportunity for Buyer since you have numerous customers using the existing Buyer product suite.
2). Having a software product which is owned by Buyer but is used for every clinical trial submission at Top 5 Pharma provides an enormous leverage for further upsell of Buyer’s entire existing suite of products. To develop this presence organically could take several years.
3). Vendor has negotiated three resources to have ongoing internal access to the Top 5 Pharma environment. This means that buyer will have internal site access to Top 5 Pharma vis-à-vis this acquisition for at least end of 2019.
4). After the current support renewal expires, there is an opportunity for a marginal support increase.
5). Healthcare Software has a renewable 10-year contract with a Top 5 Big Pharma company.
6). Offers a strategic way to introduce healthcare technology/software and to pick up a Top 5 Big Pharma client for cross-selling. The case for this software from the vendor is that it could effectively be used by IT/High-Tech firms to gain entrance into the healthcare industry, and also be used for cross-selling for any related clients.

Support and Transition from Vendor:
1). Conduct internal development and support structure to receive knowledge-transfer over a 3 to 6 month period to fully transition the product to Buyer, and developer DBMS Consulting will support Buyer for an entire year as needed to make the acquisition a success. This means Buyer would not need to hire DBMS Consulting resources for development and product knowledge, but instead knowledge-transfer with these team members over this period time.
2). Strategy guidance/internal knowledge of specific Top 5 Pharma operations and
opportunities as they become known to us, to allow the further market penetration of
Buyer solutions as a whole to Top 5 Pharma.
