Ownership is evaluating strategic alternatives, including a potential sale of the Company. Additional financial, operational, fleet, customer, and management information will be made available to qualified and serious parties following execution of a confidentiality agreement.

Proposed Transaction Structure
Ownership is seeking a transaction value of approximately $2.35 million through the acquisition of substantially all business assets. The preferred transaction structure is an asset purchase with consideration paid entirely in cash at closing. The sellers may consider a portion of the purchase price being structured as a seller-financed note,
provided such amount is associated with customary non-compete and transition arrangements.

The ultimate transaction structure, purchase price allocation, and transition support provisions will be determined through negotiations with qualified prospective acquirers.
