Established in 2009, this is a diversified Las Vegas aviation group running five complementary revenue lines from a single base at a Class D airport in the metropolitan area:

- Helicopter tours under a Part 135 air carrier certificate, including a Part 91 letter of authorization for Las Vegas Strip routes
- Rotor flight training
- Fixed-wing flight training
- Aircraft maintenance under a Part 145 repair station certificate, covering both piston and turbine work
- New and used aircraft sales as an appointed Robinson dealer

The combination is what makes this unusual. Tours draw on year-round Las Vegas visitor traffic; the flight school serves local and international students in a market with sustained demand for commercial pilots; and the repair station works on both the in-house fleet and outside customers, including a national air-medical operator and several private owners. No single line carries the business.

FLEET: Eight Robinson helicopters (R44 Raven I/II and R22), six fixed-wing aircraft (five Cessna 172 and one Cessna 182P, TAA-equipped), and Redbird LD+ and TD simulators. Two further aircraft are already on order - an R44 Raven II for October 2026 and an R66 for late 2027 - expanding tour and training capacity without any additional certification work.

FACILITIES: A leased commercial hangar with attached offices, plus a separately owned 3,300 sq ft hangar with an apartment on a long-term county land lease. The owned building is included in the asking price.

BARRIERS TO ENTRY: The Part 145 repair station certificate and the Robinson dealer and service-center appointment are the durable advantages here. Both take years and capital to obtain, and neither is easily replicated by a new entrant.

PEOPLE: 20 full-time staff across flight operations, maintenance, reservations and administration, including certificated flight instructors and Part 135 line pilots. Key personnel are expected to remain. The owner will provide a structured transition and will consider a consulting arrangement for an agreed period following closing.

DILIGENCE: A full data room is already prepared and is released on execution of a non-disclosure agreement - confidential information memorandum, financial statements, a quality-of-earnings analysis documenting every adjustment and its basis, general ledger detail, asset schedules, leases and insurance.
