BANK/COURT DESCRIPTION: This Part 135 entity is limited by the proceeds going to the creditors via agreement by the bankruptcy court (as the parent entity is in Chapter 11), the key deal points are as follows:
*** The buyer will receive a "free and clear" order from the US bankruptcy court.
*** Meet minimum price the court requires - Approx $1.4M inclusive of all expenses/debt fees to be paid out of Closing proceeds.
*** Due to some of the current structure, part of the $1.4M will be via a consulting agreement for the Seller to transition the CEO and accountable executive functions to the buyers, (but the consulting can be [and would be preferred] if it is ongoing/open-ended if desired.).
